Terms of Service

SiteForward provides subscription-based professional website and marketing services for businesses in aviation, automotive services, residential construction, transportation, restaurants, and media industries.

Hosting Plan ($25/month)

Professional Plan ($49/month)

• Custom domain and website hosting
• Search and AI optimization
• Email and phone support
• SiteForward iPhone app access (coming soon)
• 1 support transaction included per month (a $75 value)

Concierge Plan ($129/month)

• Custom domain and website hosting
• Search and AI optimization
• Business listing management (Google Business Profile, Yelp, Apple Maps + Business Connect)
• Social media management
• Email and phone support
• SiteForward iPhone app access (coming soon)
• 3 support transactions included per month (a $225 value)

All services are provided on a subscription basis with setup included at no additional charge. Work beyond included support transactions is billed as a Service on time and materials with prior approval.

Billing

All plans are billed monthly or annually in advance. You authorize us to charge your payment method on file for recurring subscription fees.

Minimum Commitment

All plans require a 6-month minimum commitment to allow adequate time for setup and results. Early cancellation within the minimum commitment period may result in charges for the remaining commitment period.

Renewal and Cancellation

After the minimum commitment period, subscriptions automatically renew monthly until cancelled. You may cancel at any time after the minimum commitment by providing written notice at least 7 days before your next billing date.

Plan Changes

You may upgrade your plan at any time, effective immediately. Downgrades take effect at the end of the current billing period.

Initial Setup

Initial setup typically takes 1-2 weeks and includes website development, business directory configuration, and advertising campaign setup. Setup is included in your subscription at no additional charge.

Ongoing Service

Professional plan includes ongoing search and AI optimization and support transactions for website updates. Concierge plan additionally includes ongoing directory management and social media management. Hosting plan updates are billed separately on a time and materials basis. Advertising campaign management is a Service billed on time and materials for all plans.

Customer Cooperation

You agree to provide timely access to necessary information, assets, and account credentials required for service delivery. Delays caused by lack of customer cooperation may extend delivery timelines.

You agree to:

• Provide accurate business information and keep it current
• Own or have proper authorization for all content you provide
• Ensure your content complies with applicable laws and regulations
• Not provide illegal, harmful, defamatory, or infringing content
• Maintain secure access credentials for your accounts
• Notify us promptly of any unauthorized access to your account
• Comply with third-party terms (Google, Facebook, etc.) for services we manage on your behalf

Your Content

You retain ownership of your business information, photos, descriptions, and other content. By using our Service, you grant us a license to use, display, and distribute your content as necessary to provide our services.

Website Code and Design

We retain ownership of the website code, design templates, and proprietary systems. You receive a license to use the website for your business as long as your subscription is active.

Website Export Rights

After completing the 6-month minimum commitment, you may request an export of your website files at any time, whether you continue your subscription or choose to terminate. We will provide your website code in a standard format within 7 business days of your request at no additional charge. This includes your website's HTML, CSS, JavaScript, and configuration files, but excludes our proprietary backend systems and tooling.

Upon Termination

Upon termination, you may export your business content (text, images, etc.). If you have completed the 6-month minimum commitment, you may also request a full export of your website files as described above. We are not obligated to maintain your website hosting after subscription termination.

Our services may involve managing third-party accounts on your behalf, including:

• Google Business Profile
• Social media accounts (Facebook, Instagram, LinkedIn)
• Advertising platforms (Google Ads, Facebook Ads)
• Industry-specific directories
• Domain registrars and hosting providers

You acknowledge that these services are subject to their respective terms and conditions. We are not responsible for changes, disruptions, or costs imposed by third-party service providers.

Advertising as a Service

Advertising campaign management is not included in any monthly subscription plan. It is available as a separately scoped and billed Service for all subscribers. You are responsible for advertising spend (budget for Google Ads, Facebook Ads, etc.) in addition to any Service fees. We will provide budget recommendations and require your approval before implementing campaigns.

No Performance Guarantees

While we employ industry best practices, we do not guarantee specific results, click-through rates, conversion rates, or return on ad spend. Advertising performance depends on many factors beyond our control.

Ad Account Access

You maintain ownership of advertising accounts. We require admin access to manage campaigns on your behalf. You may revoke access at any time, but this will limit our ability to provide advertising services.

Please note the following limitations:

• Reasonable Efforts: We make reasonable efforts to provide quality service but cannot guarantee specific business results
• Service Availability: We target 99% uptime but do not guarantee uninterrupted service
• Search Rankings: We cannot guarantee specific search engine rankings or visibility
• Third-Party Changes: Search algorithms, social media platforms, and directory policies may change beyond our control
• Timeline Estimates: Service delivery timelines are estimates and may vary based on complexity and your responsiveness

Payment Methods

We accept credit cards, debit cards, and ACH payments. You authorize us to charge your payment method for all subscription fees and approved additional services.

Failed Payments

If payment fails, we will attempt to collect payment for up to 30 days. Services may be suspended during this period. If payment is not received within 30 days, your account may be terminated and you remain responsible for unpaid fees.

Price Changes

We may change subscription prices with 30 days' notice. Price changes apply to renewals after the notice period. You may cancel before the price change takes effect.

Refunds

Subscription fees are non-refundable except as required by law or at our sole discretion. If you are unsatisfied within the first 30 days, contact us to discuss resolution options.

OUR SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the Service will be uninterrupted, timely, secure, or error-free
• Warranties regarding search rankings, traffic, leads, or business results
• Warranties that your website will be free from bugs, security vulnerabilities, or downtime
• Warranties regarding the accuracy or completeness of third-party services

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims related to the Service shall not exceed the total amount you paid us in the 12 months prior to the claim
• We shall not be liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for lost profits, lost revenue, lost business opportunities, or reputational harm
• We are not liable for data loss, service interruptions, or downtime
• We are not liable for actions or failures of third-party service providers
• We are not liable for advertising spend or campaign performance

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

Termination by You

You may cancel your subscription after the 6-month minimum commitment by providing at least 7 days' written notice before your next billing date. You remain responsible for fees through the end of the current billing period.

Termination by Us

We may suspend or terminate your account immediately if you:

• Violate these Terms
• Fail to pay fees when due
• Provide false or misleading information
• Engage in illegal, fraudulent, or harmful activity
• Abuse or misuse our Service

Effect of Termination

Upon termination:

• Your access to the Service will cease
• Your website will be taken offline unless alternative arrangements are made
• If you completed the 6-month minimum commitment, you may request a full export of your website files within 30 days of termination
• You remain responsible for all fees incurred through termination
• We may delete your data after a reasonable retention period (minimum 30 days)
• Provisions of these Terms that by their nature should survive will survive termination

Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. Arbitration shall take place in San Francisco County, California.

Class Action Waiver

You agree that disputes will be resolved on an individual basis and waive your right to participate in class actions or class arbitrations.
